These Terms of Service ('Terms') constitute a legally binding agreement between you and Loyalite ('we', 'us', 'our') governing your access to and use of the loyalty platform available at loyalite.app and the associated mobile application ('Platform'). Please read these Terms carefully before creating an account. By registering for or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Platform.
'Platform' means the Loyalite web application, API, and merchant mobile application operated by us. 'Merchant User' means a business or individual who registers for a Loyalite account to operate a loyalty programme for their customers. 'Customer User' means a person who participates in a loyalty programme operated by a Merchant User via the Loyalite Platform. 'Subscription' means the paid plan selected by a Merchant User that grants access to full Platform functionality. 'Trial Period' means the seven (7) day free-access period available to newly registered Merchant Users. 'Organisation' means the tenant account created by a Merchant User, identified by a unique URL slug under loyalite.app. 'Content' means any data, text, or information submitted to the Platform by you or your customers.
You must be at least 18 years of age to create a Merchant User account. By registering, you represent and warrant that: (a) you are at least 18 years old; (b) you have the legal capacity and authority to enter into a binding agreement; (c) if registering on behalf of a company or other legal entity, you have authority to bind that entity to these Terms; and (d) your use of the Platform will not violate any applicable law or regulation. We reserve the right to refuse registration or terminate any account if we have reason to believe these representations are untrue.
Loyalite is a multi-tenant Software-as-a-Service (SaaS) platform that enables Merchant Users to operate stamp-based or point-based loyalty programmes for their customers. Core features include: merchant and staff account management, customer enrolment via email-based one-time password or social login (Google, Apple), loyalty balance tracking via a ledger-based transaction architecture, QR code generation for point-of-sale interactions, coupon issuance and redemption, a customer-facing web dashboard, a merchant-facing mobile application, and aggregated business analytics. The Platform is provided on an 'as available' basis. We may introduce, modify, or discontinue features at any time with reasonable notice where changes materially affect your use of the service.
To access the Platform as a Merchant User, you must register by providing a valid email address and a brand name. You are responsible for ensuring that all information you provide is accurate and kept up to date. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, including actions taken by staff members you invite to your Organisation. You must notify us immediately at [email protected] if you suspect any unauthorised access to your account. Merchant staff access is managed through an invitation system; you are responsible for deactivating former staff members promptly to prevent unauthorised access. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.
Trial Period: New Merchant User accounts receive a seven (7) day free trial of full Platform functionality. No payment method is required to start a trial. Paid Plans: After the trial period, continued access to loyalty-modifying actions requires a paid Subscription. Pricing: Monthly plan at $9.99 per month; Annual plan at $99 per year (equivalent to $8.25 per month). Prices are in US Dollars and exclude any applicable taxes, which are the responsibility of the Merchant User. Billing: Subscriptions are managed and billed through the Apple App Store or Google Play Store via RevenueCat. By subscribing, you agree to the applicable app store's payment terms. Auto-renewal: Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. Cancellation: You may cancel your Subscription at any time through the app store in which you subscribed. Cancellation takes effect at the end of the current paid billing period; you retain access until that date. Refunds: Refund eligibility is governed by the applicable app store's refund policy. We do not issue refunds directly. Price changes: We will provide at least 30 days' notice before increasing Subscription prices, effective from your next renewal date.
When a Subscription expires or is cancelled and the billing period ends, an action lock automatically applies to your Organisation. Under the action lock: you and your staff may still log in and view all existing data in read-only mode; the following operations are disabled and return an HTTP 402 Payment Required response: earning loyalty points or stamps, redeeming points or stamps, manual balance adjustments, and coupon redemption. The action lock lifts immediately upon restoration of an active Subscription. Billing Issue Grace Period: If a recurring payment fails (for example due to an expired card), a 72-hour grace period applies during which all actions remain available. If payment is not resolved within 72 hours, the action lock activates. The lock lifts immediately upon successful payment resolution.
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not: use the Platform to operate an unlawful business or engage in any illegal activity; enrol customers without obtaining the legally required consents for personal data processing in your jurisdiction; upload or transmit malicious code, viruses, or any software designed to disrupt or damage the Platform; attempt to gain unauthorised access to any part of the Platform, other accounts, or our infrastructure; reverse-engineer, decompile, or disassemble any part of the Platform; use automated means (bots, scrapers) to access the Platform without our prior written consent; resell, sublicense, or otherwise commercialise access to the Platform without our written authorisation; use the Platform in a manner that imposes an unreasonable or disproportionate load on our infrastructure; use the Platform to store or process sensitive personal data beyond what is necessary for loyalty programme operation (e.g. payment card numbers, government IDs, health data); or impersonate any person or entity or misrepresent your affiliation with any person or entity.
As a Merchant User, you are the data controller for the personal data of your customers collected through the Platform. You are solely responsible for: ensuring that your loyalty programme and customer enrolment process complies with all applicable data protection laws in your jurisdiction, including obtaining any required consents from your customers before enrolling them; providing your customers with a privacy notice that accurately describes how their data is collected and used; responding to customer data subject requests (access, deletion, etc.) relating to data you control; ensuring that any marketing communications you send through channels connected to your loyalty programme comply with applicable anti-spam laws; and the accuracy and lawfulness of any Content you submit to the Platform. Loyalite processes customer personal data on your behalf as a data processor in accordance with our Privacy Policy. You may not use the Platform to process categories of sensitive personal data as defined under applicable data protection law unless you have a specific legal basis to do so.
Loyalite and its licensors own all intellectual property rights in the Platform, including but not limited to the software, design, trademarks, and documentation. These Terms do not transfer any intellectual property rights to you. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your internal business purposes during the term of your Subscription (or Trial Period). Your Content: You retain ownership of all Content you submit to the Platform. By submitting Content, you grant us a limited licence to store, process, and display that Content solely as necessary to provide the Platform to you. Feedback: If you provide us with feedback or suggestions about the Platform, we may use that feedback without obligation to you.
Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. We will not disclose your business data, loyalty programme configuration, or customer data to third parties except as required to provide the service (to sub-processors bound by confidentiality obligations), as required by law, or with your prior written consent. Our confidentiality obligations do not apply to information that is or becomes publicly available through no fault of ours, that we already knew without restriction, or that we independently develop without reference to your confidential information.
THE PLATFORM IS PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Platform will be error-free, uninterrupted, or free of harmful components. We do not guarantee that any specific feature will remain available in its current form. Scheduled and emergency maintenance may temporarily affect availability; we will endeavour to provide advance notice of scheduled downtime where practicable. Your use of the Platform and reliance on its outputs is at your sole risk.
To the fullest extent permitted by applicable law, Loyalite's total cumulative liability to you for any claims arising out of or related to these Terms or your use of the Platform shall not exceed the greater of: (a) the total Subscription fees paid by you in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) USD 100. In no event shall Loyalite be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, loss of business opportunity, or loss of goodwill, even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain types of damages; in such jurisdictions, our liability will be limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless Loyalite and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Platform in violation of these Terms; (b) your breach of any applicable law or regulation, including data protection law; (c) your failure to obtain required customer consents for loyalty programme enrolment; (d) any Content you submit to the Platform; or (e) any third-party claim that your use of the Platform infringes their intellectual property rights.
These Terms remain in effect for as long as you use the Platform or maintain an account. You may terminate your account at any time by cancelling your Subscription (if applicable) and ceasing use of the Platform. We may suspend or terminate your account immediately, without prior notice or liability, if: you materially breach these Terms and fail to cure the breach within 14 days of written notice; you become subject to bankruptcy or insolvency proceedings; or we are required to do so by law or court order. We may also terminate the Platform or discontinue any feature with 90 days' notice to active Merchant Users, unless a shorter period is required by urgent circumstances. Effect of termination: Upon termination, your licence to use the Platform ceases immediately. We will retain your data for 30 days following termination, during which you may request an export. After 30 days, your data will be permanently deleted in accordance with our Privacy Policy.
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions. The parties agree to submit to the exclusive jurisdiction of the courts of Germany for the resolution of any dispute arising under these Terms. Notwithstanding the foregoing, we reserve the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent or stop infringement of intellectual property rights or other irreparable harm.
We may update these Terms from time to time. When we make material changes, we will notify registered Merchant Users by email at least 14 days before the changes take effect, and update the 'Last updated' date at the top of this page. For non-material changes (such as clarifications that do not affect your rights), the revised Terms will take effect on the date shown. Your continued use of the Platform after the effective date of any change constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform and cancel your Subscription before the changes take effect.
